Lynnfield, a San Francisco-based long-term holding company, announced its partnership with Dahl Air Conditioning, Inc., an HVAC contractor based in Buellton, California, in Santa Barbara County. Jeff Tourtillotte, Dahl’s President and longtime owner, will continue to lead the company and will remain an owner in the business. Terms were not disclosed.

The asset.

Dahl provides HVAC installation, maintenance, insulation, and 24-hour service and repair across California’s Central Coast. It is a union contractor serving commercial and residential customers, and Lynnfield’s portfolio page says its clients include military bases, corporate clients, and a range of commercial and industrial facilities.

That is a commercial-weighted book with long relationships and a regional footprint. The release says the plan is to invest in Dahl’s people, systems, and service capabilities and to expand its maintenance and service offerings throughout the Central Coast.

The buyer.

Lynnfield calls itself a long-term holding company that acquires and builds durable businesses. Its site says it primarily owns majority stakes and welcomes founders who want to stay involved, and that it looks for businesses that are simple, niche, profitable, and durable, with a track record of ten years or more.

On its homepage, Lynnfield features Dahl (2026) under industrials, alongside two business services companies, Reputation Brands (2025) and Flexscale (2023). CEO and Managing Partner Param Shah said the firm partners “with great operators for the long term,” and Managing Partner Max Gleit said the focus is on investing in Dahl’s people and bringing more value to customers across the Central Coast.

A long-term holder, not a fund clock.

The structural point is the kind of capital on the other side. A private equity fund typically buys with a planned exit in roughly three to seven years, which shapes how it pushes add-ons, pricing, and leverage. A holding company that intends to own for the long term is underwriting something different: steady cash flow, retained customers, and a team that can keep running the business without a sale event on the horizon.

For an owner, that changes the conversation. Tourtillotte keeps running the company and keeps equity, the Dahl name and team stay in place, and growth is framed around adding maintenance and service work in the existing region rather than stitching together a multi-state platform. The trade-off is that a long-term holder may not offer the second-bite liquidity event a sponsor recap is built around, so rolled equity is worth more for its cash yield and the growth of the business than for a planned exit.

It also matters that Dahl is a union shop with commercial and military work. Not every residential-focused platform is set up to own a union commercial contractor, so the buyer universe for a business like Dahl looks different. In California, Onni-Rye Holdings has taken a similar approach in electrical, buying Pacific Industrial Electric in Brea.

What it means.

If you own a commercial or union mechanical contractor, private equity roll-ups are not your only buyers. Holding companies with long-term capital are competing for well-run regional shops, and they weigh durability heavily: years in business, customer tenure, recurring maintenance and service revenue, and a leadership team that stays. Shifting your mix toward service and maintenance agreements helps with every buyer type. We have written about why buyers pay more for service revenue than construction work and about the valuation gap that construction exposure creates.
